Terms of Use
1. Operator and acceptance
This website is operated by Nexo Prime Technologies L.L.C-FZ, a limited liability company licensed by Meydan Free Zone, Government of Dubai, under trade licence number 2650312.01, operating the NexoAI brand (“NexoAI”, “we”, “us” or “our”). Our registered address is Meydan Grandstand, 6th Floor, Meydan Road, Nad Al Sheba, Dubai, United Arab Emirates.
By accessing or using the site or submitting a request, you agree to these Terms and acknowledge our Privacy Policy. If you use it for an organisation, you confirm you are authorised to act for it.
2. Eligibility
You must be at least 18 and legally capable of agreeing to these Terms. The site is designed primarily for businesses and professionals. You must comply with laws applicable to your location and use.
3. Website information and no binding offer
Website content describes capabilities, examples, indicative pricing, and our general approach. It is general information, not legal, financial, investment, medical, cybersecurity, regulatory, or other professional advice.
Unless expressly stated in a signed agreement, website content, calls, audits, proposals, and AI responses are not binding offers, guarantees, warranties, service levels, or promises of outcomes. Scope, fees, VAT, deliverables, data responsibilities, acceptance, intellectual property, and support must be agreed separately in writing.
4. Kai and AI-generated outputs
Kai is an automated demonstration and information interface. Outputs may be incomplete, outdated, inaccurate, or unsuitable. Independently review outputs and obtain qualified advice before relying or acting.
- Do not provide passwords, API keys, payment data, sensitive or regulated data, trade secrets, or confidential third-party information.
- Do not treat Kai as an emergency, compliance, legal, financial, medical, hiring, credit, or safety decision system.
- Interactions may be restricted, reviewed, or retained as described in our Privacy Policy for security, quality, and follow-up.
5. Strategy-call bookings and audit requests
Temporary holds
Selecting a strategy-call time may hold it for ten minutes. A hold is not a confirmed booking. Confirmation occurs only when our system creates the calendar event. Holds expire automatically and availability may change.
Calls
Bookings depend on availability, accurate information, and reasonable use. Notify us promptly if you cannot attend. We may reschedule or cancel where reasonably necessary for operational, security, abuse-prevention, or force-majeure reasons.
Free AI & Growth Audit
Audit requests depend on eligibility, capacity, and information provided. “Free” means no fee for the stated initial audit; it does not require acceptance of a project or unlimited analysis, implementation, source code, or ongoing advice.
Calls and audits are exploratory and do not create agency, fiduciary, partnership, employment, exclusivity, or advisory relationships.
6. Your submissions
You retain ownership of submitted content. You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, analyse, and use it only as reasonably necessary to operate the site, respond, provide the requested audit or meeting, secure and improve services, and comply with law.
You confirm submissions are accurate and lawful, do not infringe rights, and you may provide the data. Website submissions are not confidential under an NDA unless separately agreed in writing.
7. Acceptable use
You must not:
- use the site unlawfully, fraudulently, deceptively, abusively, or to harm others;
- probe, scan, disrupt, overload, bypass, or attempt unauthorised access to the site, calendars, APIs, accounts, or infrastructure;
- introduce malware, automate excessive requests, scrape unreasonably, spam forms, or interfere with availability;
- reverse engineer or extract models, prompts, source code, non-public data, or security mechanisms except where non-waivable law permits;
- impersonate, misrepresent authority, make fraudulent bookings, or submit content you cannot use;
- use outputs or services to violate intellectual-property, privacy, sanctions, export-control, cybercrime, anti-discrimination, consumer, or other laws.
8. Our intellectual property
The website, brand, logos, design, copy, graphics, software, workflows, demonstrations, and materials are owned by or licensed to NexoAI and protected by law. Ordinary viewing and use do not grant other rights. You may not reproduce, distribute, publish, commercially exploit, frame, or create derivative works without written permission.
9. Third-party services
The site integrates or links to Google Calendar and Meet, email, WhatsApp, Telegram, Instagram, Google Fonts, and workflow or hosting providers. We do not control independent services, availability, security, content, or terms. Their terms and privacy policies apply. Links do not imply endorsement.
10. Privacy and communications
Our Privacy Policy explains personal-data handling. By requesting a booking, audit, or response, you ask us to contact you using the supplied details and send operational messages needed to fulfil the request. Marketing remains subject to applicable consent and opt-out rules.
11. Disclaimers
To the maximum extent permitted by law, the site and public features are provided “as is” and “as available”. We do not warrant uninterrupted or error-free operation, permanent availability, complete security, universal compatibility, or accuracy, completeness, uniqueness, or fitness of website or AI content.
Nothing excludes warranties, remedies, or rights that cannot lawfully be excluded, including mandatory consumer rights where applicable.
12. Limitation of liability
To the maximum extent permitted by law, NexoAI, its officers, personnel, and affiliates will not be liable for indirect, incidental, special, punitive, exemplary, or consequential loss, or loss of profit, revenue, opportunity, goodwill, savings, business, or data from the public website or reliance on its content.
Where liability cannot be excluded, our aggregate liability from the public site and free features is limited to the greater of (a) AED 1,000 or (b) the amount paid specifically for the feature giving rise to the claim in the preceding twelve months.
This does not limit non-excludable liability, including fraud, wilful misconduct, gross negligence where non-excludable, death or personal injury caused by negligence, or mandatory statutory liability. Signed client agreements govern liability for paid projects.
13. Responsibility for misuse
To the extent permitted by law, you are responsible for losses, claims, and reasonable costs we incur from your unlawful misuse, infringement of third-party rights, or material breach of Sections 6 or 7. This does not apply to loss caused by our breach, negligence, or unlawful conduct.
14. Suspension and termination
We may restrict access where reasonably necessary for security, availability, misuse investigation, legal compliance, or protection of users and third parties. You may stop using the site at any time. Provisions intended to survive—including intellectual property, disclaimers, liability, disputes, and general provisions—will survive.
15. Governing law and disputes
These Terms and related non-contractual obligations are governed by UAE federal law and laws applicable in the Emirate of Dubai, without conflict-of-law rules. Before filing a claim, each party should give written notice and attempt good-faith resolution for 30 days. Subject to mandatory law, Dubai courts have exclusive jurisdiction.
If mandatory consumer or data-protection law gives you rights to proceedings elsewhere or other protection, this section does not remove them.
16. General
- Changes: We may update these Terms prospectively by posting a revised date and additional notice where required.
- Severability: An unenforceable provision is limited or removed only as necessary; the rest continues.
- No waiver: Delay enforcing a right is not a waiver.
- Assignment: You may not transfer these Terms without consent. We may transfer them in a restructuring, financing, or sale, subject to law.
- Entire website agreement: These Terms and the Privacy Policy govern the public site but do not replace signed client agreements.
- Electronic form: Notices and agreements may be electronic where legally permitted.
